Legal Precision.
Corporate Execution.
Incorporated (Lexia Incorporated) is the operational side of the Lexia group. Lexia Partners writes the legal architecture. We are the people who then file it with MISA, register it with the Ministry of Commerce, open the bank account, run the payroll and keep the licences renewed, from our own teams in Riyadh and Dubai.

About Incorporated
Strategic Operational Engine.
By Tasawar Ulhaq, Founder, Incorporated. 12+ years of GCC market entry, on the ground in Riyadh. · Last updated: July 2026
We built Incorporated because we kept watching the same gap swallow market entries: excellent legal advice, and then nobody to actually execute it in the Kingdom. A structure memo does not renew a CR or answer a bank compliance query. Incorporated is the division that does that work, forming and operating entities with the discipline investors and regulators expect.
Our people sit in Riyadh and Dubai, not in a call centre routing your file to a subcontractor. The clients we serve best are general counsel, CFOs and founders who have been burned once already and now want a partner who knows what Qiwa will ask before Qiwa asks it.
- • One platform: legal precision from Lexia Partners, corporate execution from Incorporated.
- • Saudi Arabia and the UAE at the core, because that is where our people actually are.
- • Roadmaps with dates we are prepared to stand behind, and follow-through when a portal misbehaves.
Who we typically serve
- • Mid-market corporates entering or expanding in Saudi Arabia and the UAE.
- • Global and regional investors backing platform companies in the GCC.
- • Family offices professionalising governance and structures.
- • High-growth technology and services businesses building regional hubs.
Expertise
Deep regulatory knowledge. Hands-on execution.
These are not logos on a slide. Our team files with MISA, ZATCA, GOSI, the Ministry of Commerce, MHRSD, ADGM and DIFC every week, and we do not sub-contract the critical path. When a registration stalls, the person fixing it is the same person who submitted it.

Formation to full Operations.
Formation is the easy month. The years after are where entities quietly break: a missed CR renewal, a lapsed GOSI file, a bank review nobody answered. We coordinate the full lifecycle so that never happens on our watch.
01
Global formation
Entity formation across Saudi Arabia, the UAE (mainland and free zones), and key international hubs.
- • KSA: MISA, RHQ and subsidiary structures
- • UAE: mainland, ADGM, DIFC and free zones
- • SPV and holding company design
02
Corporate administration
Day-to-day corporate secretarial and governance support so boards and shareholders can focus on decisions.
- • Licences and CR renewals
- • Board and shareholder actions
- • Cap table and register maintenance
03
Compliance operations
Practical, recurring compliance: we operationalise filing calendars and evidence packs across jurisdictions.
- • KYC/KYB and banking onboarding
- • ZATCA, VAT, ESR, AML/DNFBP routines
- • Saudi & UAE compliance calendars
04
HR & mobility
Integrated payroll, WPS, visas and HR support so headcount growth aligns with compliance and cashflow.
- • Payroll and WPS execution
- • Visa and immigration coordination
- • EOR and GRO/PRO services
Saudi Arabia
Kingdom of Saudi Arabia
Saudi is our home market and where most of our work sits. We pick the right route in, whether that is a standard MISA services licence, RHQ, industrial or trading, then build the payroll, compliance and banking infrastructure beneath it. The route matters: trading and industrial licences carry conditions a services licence does not.
- • MISA licensing, CR issuance and RHQ frameworks
- • Saudi compliance calendar, ZATCA, GOSI, WPS and Saudization
- • Industrial and manufacturing structures via MODON and economic zones
United Arab Emirates
United Arab Emirates
The UAE question is almost never "can we set up" but "where". Mainland or free zone, ADGM or DIFC for the holding layer, and which licence keeps the corporate tax position clean. We give a firm recommendation with reasons, then implement the VAT, ESR, AML and immigration routines around it.
- • Company setup in Dubai and Abu Dhabi (mainland and free zones)
- • Corporate banking, KYC and tax residency support
- • VAT, corporate tax, ESR and AML/DNFBP obligations
How We Work
From strategy to an operating platform.
The Lexia model is deliberately two divisions. Lexia Partners acts as strategic legal counsel. Incorporated builds and runs the corporate platform underneath that strategy. The split exists because advice and execution are different disciplines, and firms that pretend to do both usually do one badly.
01
Assessment
We map your current structure, stakeholders, markets and regulatory touchpoints, then define the right entry or expansion route.
02
Design
Lexia Partners frames the legal architecture; Incorporated designs the entity, banking and operational set-up around it.
03
Execution
We implement incorporations, registrations, banking, payroll and immigration with clear timelines and a single point of contact.
04
Ongoing operation
We operate filing calendars, renewals and governance routines so your internal teams stay focused on the business, not on portals.
Examples
Where Incorporated typically sits.
Every mandate is different, but three patterns come up again and again in our files. If you recognise yourself in one of them, we have probably done your setup before.
Global SaaS enters Saudi Arabia
We combine RHQ/MISA structuring, CR issuance, payroll, immigration and banking support to stand up a compliant operating company that can hire and invoice in Saudi.
- • Route selection and licensing
- • Payroll, WPS and Saudization planning
- • Banking and collection readiness
Industrial investor builds GCC footprint
MISA, MODON and free zone entities structured around a bankable, compliance-ready manufacturing and distribution platform.
- • Entity and zone selection
- • Factory and workforce compliance calendars
- • Banking, tax and incentives alignment
Family office rationalises structures
We redesign holding companies, SPVs and operating entities across ADGM, DIFC and onshore jurisdictions, then run the governance and administration.
- • Structure mapping and simplification
- • Corporate secretarial and registers
- • Ongoing compliance and reporting
Questions
FAQs about working with Incorporated.
The questions new clients actually ask us, answered plainly. For jurisdiction-specific detail, the Saudi and UAE resource hubs go deeper.
Where do you operate?
Saudi Arabia and the UAE, with our own teams in Riyadh and Dubai. We also coordinate holding and SPV structures in ADGM, DIFC and select international hubs. If a market is outside our competence, we say so and refer you rather than learn on your file.
How do you work with Lexia Partners?
Lexia Partners provides legal strategy, documentation and dispute resolution. Incorporated takes that architecture and runs the operational engine: entities, filings, payroll, banking and governance. You can engage either division on its own.
Do you replace internal teams?
No. We work alongside in-house legal, finance and HR. Our job is the layer that is too specialised or too fragmented across government portals to be worth building internally: nobody hires a full-time employee to manage Qiwa, Mudad and ZATCA for a twelve-person entity.
What does a typical engagement look like?
Assessment and roadmap first, usually a week or two. Then the setup phase: incorporation, registrations and banking over two to three months. Most clients then keep us on a recurring compliance and payroll mandate, because the renewals calendar never stops.
Can you support both Saudi and UAE from one team?
Yes. Many clients appoint us to coordinate both jurisdictions, so board and management receive a single view of compliance and operations across the GCC.
How do we get started?
Send your current structure, target markets and timelines. We reply with a short options memo and an implementation plan with fees stated up front, not discovered later.

Next Step
Turn strategy into an operating company.
First entry into Saudi or the UAE, or a footprint that has grown messy and needs rationalising. Either way, the goal is the same: a clean, bankable, compliant platform you do not have to think about.
Thirty minutes is usually enough for us to understand your context and tell you the realistic path, including the parts that will be slower than you hope.
What to prepare
- • A short description of your current structure and where you operate today.
- • Target jurisdictions and timelines (Saudi, UAE, other hubs).
- • Any regulatory or banking constraints you already know about.
We are happy to work from a deck, term sheet or internal memo if that is easier than drafting a formal brief.
