Saudi Arabia & UAE Company Setup Services

Business setup in Saudi Arabia and Dubai covers MISA licensing, Commercial Registration, banking, and ongoing compliance. We manage end-to-end formation for foreign founders and multinational teams.

We form companies in Saudi Arabia and Dubai for a living, and have done for over a decade. The two markets look similar from the outside and behave very differently once you file. This page explains what we actually do in each, and the order we do it in.

Outcome

From Setup to Operational Readiness

A registration certificate is not a business. Our definition of done is stricter: you can sign a contract, sponsor an employee and receive a payment into your own account. Everything we do, from licensing through government registrations, HR and ongoing compliance, is sequenced towards that day.

1. Our Company Setup Services

Four workstreams, run by one team. The trick is not any single service, it is running them in parallel instead of in sequence.

Licensing & Formation

  • • Activity scoping and licensing strategy aligned to your revenue model.
  • • Mainland and free zone formation options (UAE) and investment licensing pathways (Saudi).
  • • Branch vs subsidiary analysis and group structuring support.
  • • Corporate governance drafting support (AoA, resolutions, signing powers, signatory plans).

Government Relations (GRO/PRO)

  • • End-to-end submissions and portal management.
  • • Renewals, amendments, and corporate changes (owners, managers, activities, addresses).
  • • Sector-specific regulatory coordination (where applicable).
  • • Clear process ownership to reduce delays and friction.

Visas, HR & Operational Onboarding

  • • Visa pathway planning and onboarding coordination.
  • • HR outsourcing, payroll setup, and operational readiness support.
  • • Employer of Record (EOR) and outsourced payroll management where required.
  • • Relocation and concierge support for executives and teams.

Ongoing Compliance Management

  • • Corporate secretarial and governance support.
  • • Tax/VAT readiness coordination and compliance calendars.
  • • Renewals, amendments, and regulatory reporting support.
  • • Compliance management designed for long-term stability.

The Incorporated Difference

The people who file your applications work for us, in Riyadh and Dubai. Nothing on the critical path is sub-contracted, which is why our timelines hold.

Get Started

2. Company setup in Saudi Arabia

The heavier of the two setups, and the one where preparation pays. MISA registration, then the CR, then the government platforms, in that order, with document legalisation started before anything else because it is the slowest step.

Common setup routes:

  • Subsidiary formation
  • Branch registration
  • RHQ Program & Special Economic Zones

Scale with confidence

The MISA activity codes you choose on day one get tested later by the bank and the labour platforms. We choose them with that test in mind, so you can hire, bank and invoice without amendments.

3. Company setup in Dubai

Faster to form, easier to underestimate. The licence can be issued in days; the bank account is where Dubai setups actually stall, which is why we build the KYC pack before the licence exists.

Strategic options:

  • Mainland (Onshore operations)
  • Free Zones (Sector specific)
  • Group Architecture

Operational readiness

Banking readiness packs, KYC narratives, office solutions, and visa planning included.

4. GCC Connectivity & Global Expertise

Much of this region still runs on who picks up the phone. A banker who knows your advisor reads the KYC file differently. A landlord who has leased to our clients before signs faster. That accumulated trust is not on our rate card, but it is a large part of what you are buying.

GCC Reach

Trusted partners and execution pathways across Saudi, UAE, and the wider Gulf.

Global Bridge

Cross-border structuring, governance discipline, and investor-ready documentation.

Long-Term Partner

Beyond setup: compliance management, HR/payroll support, and operational outsourcing.

5. Our Setup Process

Four stages. Stage 2 decides your calendar, because legalising parent-company documents takes two to four weeks and nothing downstream starts without them.

1

Strategy & Licensing fit

Define business model, intended activities, and optimal route (Saudi, Dubai, or Dual-track).

2

Documentation & Governance

Preparation of resolutions, signatories, ownership structure, and compliance narrative to avoid rework.

3

Formation & Registrations

Formation workflows, government files activation, and premises alignment.

4

Operational Onboarding

Visas, HR readiness, payroll setup, banking readiness pack, and compliance calendar.

6. FAQs

Common questions from international founders and multinational groups.

Do you support both setup and ongoing compliance?
Yes, and we would argue the compliance side matters more. Formation is a one-time project; the renewals calendar never stops. Most of our setup clients move onto a compliance retainer covering renewals, amendments, corporate secretarial work and payroll, because a missed filing can freeze the government portals that hiring and invoicing depend on.
Can you help us hire before incorporation is complete?
Usually, yes. We employ the hire under our own entity through an Employer of Record arrangement while your formation runs, then transfer them to your company once it can sponsor visas. It is the standard answer when a country manager is ready to start and the entity is not.
What do you need from us to start?
Five things: what the business does, the intended activities, who owns it, which market comes first (Saudi, Dubai, or both), and when you want the first hire on payroll. From that we propose the route and a dated roadmap. A deck or an internal memo is fine; we do not need a formal brief.
