Why clients choose an ADGM foundation (and when they should not)
I set up ADGM foundations for families and founders who need a civil-law structure that banks and regulators recognise, but who do not want a listed holdco or a trust in a distant jurisdiction. The foundation owns assets in its own name. Beneficiaries have economic rights; the council runs day-to-day decisions under a charter you approve upfront.
I push back when someone asks for a foundation to hold operating trading inventory or sign customer contracts. That belongs in an SPV or operating company. Foundations work for share portfolios, IP, property SPVs, and family governance over those assets.
Formation: where files actually get stuck
Registration with ADGM is rarely the bottleneck. Drafting is. We spend most of the first two weeks on the charter and by-laws because those documents survive every bank KYC review and every family dispute later.
Charter (public)
Sets the foundation name, purpose, initial endowment, and council powers. Keep the purpose narrow enough for banks ("holding shares in X Holdco") rather than vague "wealth management" language that triggers enhanced due diligence.
By-laws (private)
This is where control lives: how councillors are appointed and removed, what the founder can veto, how distributions are triggered, and what happens on incapacity or death. We draft these to match how the family actually makes decisions, not a template from another jurisdiction.
Designee requirement
ADGM requires a named designee who inherits beneficiary status if no other beneficiary exists. Pick someone who understands the role is a backstop, not a windfall. We explain this in plain language before signing.
Typical timeline we plan for
- Week 1 to 2: structure call, charter/by-laws drafting, KYC on founder and councillors.
- Week 3: CSP submission to ADGM, initial endowment transfer (minimum USD 100 equivalent).
- Week 4 to 6: registered office live, UBO register filed, bank introduction pack submitted.
Bank account opening is the variable. ADGM foundations are bankable, but expect four to eight weeks of document requests if the underlying assets or source of wealth cross multiple countries.
2026 incorporation checklist
- Initial endowment: at least USD 100 (or equivalent) transferred to the foundation on creation.
- Registered office: physical address on Al Maryah Island through an ADGM-licensed CSP.
- Company Service Provider: mandatory unless exempt; we act as CSP and handle RA filings.
- UBO register: beneficial owners identified upfront; changes filed within 15 days.
- Council: minimum two councillors with fit-and-proper credentials.
Roles we define clearly before signing
Founder
Endows assets and keeps reserved powers in the by-laws (appoint/remove councillors, amend specific clauses). Powers can sunset on death or a set date.
Council
Runs the foundation like a board: investments, distributions, signing bank mandates. Minutes matter; ADGM expects evidence of decisions.
Guardian
Oversees the council against the charter. Mandatory after the founder dies if beneficiaries are discretionary.
Beneficiaries
Named individuals, classes (e.g. "issue of X"), or charities. Distribution mechanics sit in the by-laws.
Ongoing obligations we track on a calendar
Foundations fail audits when annual renewals slip, not because the concept was wrong.
Every year
- Commercial licence renewal with ADGM.
- Data protection registration renewal where applicable.
- Accounts maintained for at least ten years; many clients add a light review even when full audit is not mandatory.
Event-driven filings
- Charter or by-law amendments.
- Council or guardian changes within prescribed windows.
- UBO updates within 15 days of any change.
- Registered office moves.
Questions founders ask in the first call
Foundation vs ADGM SPV: which first?
SPV if you need a single asset deal with external investors. Foundation if you need multi-generational governance over several assets. We often use both: foundation owns the SPV shares.
Can a foundation trade?
It should not operate a business. Holding passive assets and receiving dividends is fine. Active trading triggers different licensing questions.
Will UAE mainland banks open an account?
ADGM foundations open accounts, usually with ADGM-aware relationship managers. Pack quality determines speed more than the flag.
